Terms & Conditions

  • 1.) Prices
    All prices quoted are in pounds sterling and exclude VAT @ the current rate.

  • 2.) Stock
    Merley tries to maintain a stock of all the items in its range, however occasionally an item will be unavailable due to demand. If this is the case, then we will advise you of the delay and offer you a full refund.

  • 3.) Delivery
    Delivery to Mainland UK , Ireland & the Scottish Highlands will incur a charge. All UK orders of under £60 will incur a charge of £6.00. All UK orders of over £60 will be delivered free. For Delivery to Europe please contact us. Whilst every endeavour will be made to effect deliveries on time, no guarantee as to exact dates is to be implied and no liability will be accepted for any loss or damage occasioned by delay in delivery however caused (including force majeure). Any complaint of short delivery or of damage of goods delivered in the United Kingdom must be notified in writing by the buyer to the seller and the Parcel Carrier within 3 days of receipt of the goods and any complaint of failure to deliver goods invoiced must be so notified to the seller, in writing, within 14 days of the date of the invoice. Any complaint of short delivery or of damage to goods delivered outside the United Kingdom must be notified in writing by the buyer to the seller and the Forwarding Agent within 7 days of receipt of the goods and any complaint of failure to deliver goods invoiced must be so notified to the seller in writing within 21 days of the date of arrival at the Terminal point.

  • 4.) Postponement of Delivery
    Customers may not amend any outstanding orders for goods already made, or in progress of being made at the time, or for the goods to be made from materials specifically ordered for the execution of such orders except by mutual written agreement and then only on terms which fully indemnify the seller.

  • 5.) Claims
    If any good supplied by Merley Paper Converters Limited (the company) prove on inspection to be defective in material or workmanship the Company undertakes as its option to replace the same or refund to the buyer the price of the goods and in no circumstances will liability exceed the cost of replacement or (at the Company's option) the price paid by the buyer for such goods. The Company shall not under any circumstances whatsoever be liable for damages whether consequential or otherwise, howsoever caused or occasioned and this undertaking is given in place of and excludes all other warranties and conditions whatsoever implied by statute or otherwise. In the case of a failure to comply with part only of these conditions there shall be a pro rata statement of liability.

  • 6.) Compatibility
    Responsibility for establishing the compatibility of any of the Company's products with papers or other materials used by the buyer in manufacture or used with the Company's products shall rest upon the buyer and the Company shall not be liable for any loss whether consequential or otherwise, or for deterioration of our products or other material used with it in manufacture or otherwise, caused by incompatibility of such materials one with the other.

  • 7.) Retention of Title
    Upon delivery of any goods to the Purchaser the risk shall pass but Merley Paper Converters Limited shall remain legal owner of them until such time as the Purchaser shall have paid to Merley Paper Converters Limited the full price thereof and the full price of any other goods the subject of any other contract of sale between the Purchaser and Merley Paper Converters Limited. The Purchaser acknowledges that until such time he is in possession of the goods solely as bailee for Merley Paper Converters Limited and shall store the goods separately from its own goods in such a fashion as to be readily identifiable by Merley Paper Converters Limited. If any goods are sold by you or incorporated in or used with other goods, at the point of sale or incorporation or use you must notify the subsequent purchaser or incorporator or user of our rights hereunder as appropriate.

  • 8.) Terms of Payment
    The prices charged and against which payment must be made will be those prices ruling at the date of despatch of goods.

  • Customers own conditions of purchase for buyer's standard conditions of purchase shall not apply unless specifically accepted, in writing, in advance.

  • No variation hereto or addition shall be binding upon the Company unless in writing under the hand of a responsible official of the Company.

  • 9.) General
    The giving or sending of an order to us constitutes an offer to purchase on these conditions, but is subject to acceptance by us. If payment is not made in accordance with the Terms of Payment above or if at any time we have bona fide doubts about your solvency or the next paragraph applies, we may refuse delivery of any of the goods remaining to be delivered until financial arrangements have been established to our reasonable satisfaction. All payments shall become due immediately upon the commencement of any act or proceeding in which your solvency is involved. The proper Law of Contract entered into shall be that of England & Wales and all the rights under any such contract and its construction and effects shall be subject to the jurisdiction of and construed according to the Laws of England and Wales. In the event of any dispute arriving out of, or in relation to such contract, the same shall be decided by arbitration in accordance with the provisions of the Arbitration Acts 1950-1979.

  • 10.) Orders over £60 (UK)
    All orders over £60, excluding VAT, will be despatched carriage free.

  • 11.) Orders below £60
    All orders below £60, excluding VAT, will incur a charge of £6.00 (UK)

  • 12.) Return of Goods
    Return of goods supplied in accordance with customer's orders cannot be accepted unless agreed in writing. A handling charge of 20% (excluding VAT) will be levied on all orders which have been returned after agreement by the Company.

    Items incorrectly ordered must be returned at the customers own expense, or alternatively we can arrange for collection at your expense. Alternatively items incorrectly ordered can be returned at the customers own risk using a carrier of your choice. We will arrange and pay for the collection of items incorrectly dispatched by us.

    Items returned must be in a re-sale able condition.

    Non-standard goods supplied in accordance with customer's orders cannot be accepted for return or credit.

  • 13.) Cancellations
    Under the UK distance selling regulations you legally have 7 days to cancel an item or return it for credit. Items cancelled must be returned in their original condition.

  • 14.) VAT
    All prices quoted exclude VAT.
